Media Accreditation Terms and Conditions.

1. Introduction This Terms and and Conditions for The Accreditation and Waiver of Liability on Rally USA Events ("Agreement") sets forth the terms and conditions under which Rally USA ("Company") grants media accreditation ("Accreditation") to you "Media Accredit" for the 2024 Tennessee Rally USA ("Event") taking place on June 11-17, 2024 in Tennessee.

2. Media Credentials and Access

2.1 Upon approval of your Accreditation application, Media Accredit will receive a badge granting access to designated media areas at the Event.

2.2 A media tabard will only be issued to Media Accredit upon successful completion of the mandatory Media Safety Briefing on June 14, 2024, at 8:00 AM EST. Attendance at the briefing is non-negotiable.

2.3 Media Accredit acknowledges that access to certain areas of the Event may be restricted due to safety or operational reasons. Company reserves the right to revoke or deny access to the Event at any time for any reason.

3. Media Coverage

3.1 Media Accredit is granted permission to capture photographs, video footage, and audio recordings ("Media") solely for the purpose of covering the Event.

3.2 Media Accredit acknowledges and agrees that all Media captured at the Event is the sole property of Company. Media Accredit retains ownership rights to the Media for their own editorial use.

3.3 Media Accredit agrees to obtain all necessary permissions from any identifiable individuals captured in the Media before using their image or likeness for commercial purposes.

3.4 Company grants Media Accredit a non-exclusive, royalty-free license to use the Media captured at the Event for their own editorial purposes. Media Accredit agrees to credit Company in any such use of the Media.

4. Release of Liability

4.1 Media Accredit acknowledges that participation in the Event carries inherent risks. Media Accredit hereby releases, waives, discharges, and covenants not to sue Company, its affiliates, officers, directors, employees, agents, and volunteers (collectively, "Released Parties") from any and all claims, demands, liabilities, losses, or damages arising out of or in any way connected with Media Accredit's participation in the Event, including, but not limited to, personal injury, property damage, or death.

4.2 Media Accredit agrees to indemnify and hold harmless the Released Parties from any and all claims, demands, losses, or liabilities (including attorney's fees) arising out of or in any way connected with Media Accredit's violation of this Agreement.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.

6. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

7. Amendment

This Agreement may be amended only by a written agreement signed by both parties.

8. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

9. Waiver

No waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

10. Notice

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, sent by certified or registered mail, return receipt requested, postage prepaid, or sent by overnight courier, addressed as follows: Rally USA, 2441 Broad St. Chattanooga, TN 37408
